What is Mironova Art's legal role in a transaction?

Mironova Art (NobleArts OÜ) acts strictly as an intermediary platform. The legally binding contract of sale is formed directly between the Client (Buyer) and the Seller (Creator or Dealer). Mironova Art is not a party to this contract and does not take physical possession of items, except when “Mironova Gallery” is the listed seller.

Which laws govern the platform and its users?

All interactions, agreements, and disputes are governed by the laws of Estonia, European Union, and International Law when applicable.

To which countries do Mironova Art's Sellers ship?

Mironova Art provides Services to addresses within all countries except for Iran, Iraq, the Russian Federation, North Korea, Lebanon, Libya, Belarus, Afghanistan, Somalia, Sudan, South Sudan, Syria, Venezuela, Yemen, Zimbabwe, Congo, Liberia, Cuba, CAR, DRC, Haiti, Eritrea, and Turkmenistan.

What does the principle of “Caveat Emptor” mean for the Buyer?

“Caveat Emptor” means “Buyer Beware.” The Client is responsible for examining the item's description, high-resolution photos, dimensions, and condition provided by the Seller before making a purchase.

Who can register as a Seller on Mironova Art?

The platform is open to Creators (emerging and established artists) and Dealers (galleries, shops, or individual agents). New artists must apply through a dedicated Application Form.

On what grounds can Mironova Art terminate an account?

Termination or suspension can occur without notice if a user: (a) violates any platform policies; (b) provides false or misleading information; (c) behaves abusively or insults platform staff; (d) fails to update inventory leading to “ghost sales”; or (e) breaches EU laws.

What are the consequences of account termination?

Upon termination, all rights and licenses will be revoked, and all account data, including purchase history, will be permanently deleted. Unless the account is terminated due to the Seller offering products at lower prices outside the platform, any remaining balance will be transferred to the Seller's bank account within 14 days.

Insurance & Liability

Is shipping insurance mandatory?

Yes. According to the Shipping Policy and Content Guidelines, the Seller is obligated to ensure the Item is adequately insured during transit for its full value unless otherwise agreed between the Seller and the Client in writing.

Who bears the cost and risk of insurance?

The Seller is responsible for arranging and paying for insurance. If the Seller fails to insure the item or the insurance is insufficient, the Seller bears the full financial risk of loss or damage.

How is insurance handled for high-value items?

Sellers must be transparent with Clients regarding any additional insurance costs for high-value items and must collaborate with reliable shipping partners experienced in handling delicate goods.

Who is responsible for insurance during a return?

In the event of a return, the Seller is responsible for covering both the return shipping costs and the return insurance to protect the item on its way back.

Does Mironova Art take responsibility for carrier errors?

No. Mironova Art has no control over and holds no liability for the acts, omissions, or policies of Shipping Service Providers.

Shipping, Customs & Documentation

Are products bought from different sellers shipped together or separately?

Mironova Art does not currently offer fulfillment services. Items purchased from different sellers are shipped separately from their respective locations.

What is the timeframe for the Seller to release the Products after payment confirmation?

The Seller commits to relinquishing physical possession of any Products to the Client within five (5) working days of confirming that the Client has paid the Total Purchase Price for the respective order.

What options does a Client have if delivery is not initiated within 5 days of payment?

If delivery is not initiated within the specified 5-day period, the Client may choose one of the following options:

  • Receive a full refund for the order, which will be initiated by Mironova Art within 14 working days upon request.
  • Receive a 5% discount for every 2 days the initiation of delivery is overdue, with the maximum discount capped at 20%.
  • If the discount option is chosen, the entire loss of profit associated with the discount is the responsibility of the Seller.
Are the shipping timeframes provided by the Platform guaranteed?

No, shipping timeframes are estimates and do not guarantee exact dates of delivery. These estimates are based on the destination point and the chosen shipping service or method, such as standard or express.

What is included in the Listing Price?

The price includes the Seller's margin but excludes shipping fees, specialized packaging (e.g., wooden crates), insurance premiums, and customs duties.

What are the Buyer's obligations regarding international shipping?

The Client is the “Importer of Record.” This means the Client is solely responsible for all import duties, taxes, and brokerage fees required by their local customs authorities. If the destination country of an order is within the EU, Mironova Art does collect VAT during the checkout process, which is added to the total sum of the order.

What is the “Transfer of Ownership and Risk of Loss”?

Title to the item and the risk of its loss pass to the Client only when: (1) full payment is confirmed, and (2) the item is physically delivered to the Client or their legal representative.

What documentation must the Seller include in the shipment?

The Seller must include: (a) a Commercial Invoice; (b) a signed Certificate of Authenticity (if applicable); (c) a Packing List; (d) Harmonized System (HS) Codes; and (e) Export Control documents if the item has national/cultural significance.

How are shipping quotes provided?

Shipping costs are typically calculated at checkout based on the item's weight, dimensions, and destination. In certain cases — such as irregularly sized parcels or high-risk items — shipping quotes may instead be provided in writing by the Platform and/or the Seller via official communication channels.

Packaging Requirements (Sellers)

How must Paintings be packaged?

If the painting has glass, it must be taped in an “X” shape with painter's tape. The surface must be covered with acid-free glassine paper, wrapped in bubble wrap, protected with foam corner protectors, and placed in a sturdy double-walled corrugated box or wooden crate.

What are the packaging requirements for Sculptures?

Sculptures must be “floated” in a box or crate with 5–10 cm of cushioning (foam/bubble wrap) on all sides to prevent any shifting during transit.

How should Textiles and Graphics be shipped?

Textiles must be rolled on a tube (never folded) and placed in a moisture-proof sleeve. Graphics/Prints must be placed between acid-free boards or in heavy-duty tubes with at least 2 cm of overhang for edge protection.

What are the requirements for Tableware and Home Accessories?

Each item must be individually wrapped in bubble wrap and separated by dividers or cushioning within a sturdy box to prevent contact between items.

Delivery & Damage Claims

What is the “Inspection Obligation” upon delivery?

The Client must inspect the package's exterior in the presence of the courier. If damage is visible, the Client must either refuse the delivery or sign the receipt with a clear “damaged” reservation.

What is the timeframe for reporting damage?

The Client must notify Mironova Art at support@m-art.global within 24 hours of delivery (after the order has been received), providing photos of the packaging and the damaged item.

What happens if I sign for a package without noting damage?

Signing a delivery receipt without a reservation generally signifies that the item was received in good condition, which may void subsequent insurance or damage claims.

Returns, Refunds & Cancellations

What is the “Right of Withdrawal”?

Under EU consumer laws, Clients have 14 calendar days from the date of delivery to request a return and refund for most items without giving a reason.

Which items are strictly non-refundable?

(a) Custom-made or personalized commissions; (b) Perishable/expired goods; (c) Items unsealed after delivery that are unsuitable for return due to hygiene (e.g., bedding/tableware); (d) Items inseparably mixed with others after delivery.

What is the refund process?

Refunds are processed within 14 days after the Seller receives the returned item and confirms it is in its original condition.

Are shipping fees refunded?

No. Original shipping fees are non-refundable. The Client is responsible for these costs, while the Seller covers the return shipping costs.

Content, IP & Conduct

Who owns the Intellectual Property rights to the artwork?

The Creator (or Dealer) retains all copyrights. However, by listing an item, the Seller grants Mironova Art a worldwide, royalty-free license to use the images and descriptions for promoting the platform.

What is the “Inventory Update” rule?

Sellers must remove items immediately if they are sold outside the platform. Failure to do so leads to “ghost sales,” which is a serious breach of policy.

Dispute Resolution

What is the mandatory first step in a dispute?

Parties must enter a “Negotiation Phase” and attempt to resolve the conflict in good faith before taking any legal action.

What is Mironova Art's “Judgment Authority”?

The platform retains the right to adjudicate and provide the final resolution for disputes between Users, unless the matter requires involvement of legal authorities.

What is the statute of limitations for claims?

All claims must be brought within one (1) year after the claim arises.

Where are disputes legally settled?

If negotiations fail, disputes are settled exclusively in the national courts of Estonia.

Privacy & Data Security

Does the platform track my activity?

The site uses essential and statistical cookies. Mironova Art does not currently acknowledge “Do Not Track” browser signals.

Is my data shared with third parties?

Data is shared only with necessary service providers (shipping, payment processing) and as required by law. Transfers outside the EEA are protected by Standard Contractual Clauses.

Commission & Payouts

How does the Platform determine and apply the commission fees?

The commission fees collected by the Platform vary based on the product category of the items listed and the type of Seller. The applicable fees are:

  • Original Art: 35% Flat Fee for Creators and 20% Flat Fee for Dealers.
  • Prints: 25% Flat Fee for Creators and Dealers.
  • Furniture: 20% Flat Fee for Creators and 15% Flat Fee for Dealers.
  • Decor, Lighting, Home Accessories, Bathroom Accessories, Bedding, Dining: 15% Flat Fee for Creators and Dealers.
At what point is the commission fee deducted?

The applicable commission fee is deducted from the final sale price of the Order before any payment is transferred to the Seller.

How is the commission calculated if a promotional discount is applied?

If a promotional discount is applied to the order, it is subtracted from the total sale price before the standard revenue split between Mironova Art and the Seller is determined.

What is the timeline for payout to the Seller?

The seller's earnings, after deducting the Platform's commission, are transferred to the specified account within 14 days after a withdrawal request is submitted, but only after the 14-day holding period for return and refund cases has passed.

What are the Seller's obligations regarding product classification and rules?

Sellers must ensure that all listed items adhere to the marketplace's product category classification and abide by all platform rules related to pricing, discounts, and other policies.

Can Mironova Art modify the commission structure?

Mironova Art reserves the right to modify the commission structure, including fees for specific product categories. Any changes will be communicated in advance and apply to all future sales after the effective date.

What happens to commissions upon account termination?

If a Seller terminates their account, all outstanding commission payments are processed according to the established terms, and orders completed before termination remain subject to the applicable commission fees.
